Sample Articles of AssociationArticles of Association ARTICLE I The name of this corporation shall be __________ County 4-H Club Foundation, Inc. Its existence will be perpetual. It shall be a non-stock and non-profit organization. ARTICLE II The principal office of the Foundation shall be maintained at ________, Arkansas and its principal officers shall be residents of the territory designated as "_______ County." ARTICLE III The purpose of this Foundation shall be:
ARTICLE IV This Foundation shall have and exercise all the powers enumerated in Arkansas Stats., Sec. 64-1306, and in addition, thereto, shall have the power to receive gifts of money and property without limitation; to convert any property into cash and to invest and reinvest all sums in its hands; to expend the income or principal of all monies and property of the Foundation in carrying out the purposes of its existence. No member of this organization may profit individually from this Foundation. ARTICLE V The membership of the Foundation shall consist of any organization, company, corporation, cooperative or individual interested in the work and activities of the 4-H clubs and make an annual contribution to support this work. Application for new membership in the foundation must be approved by the Board of Directors. ARTICLE VI The business and all activities of the Foundation shall be carried on by a Board of Directors consisting of at least eleven members made up as follows: (a) __________ County Agent (b) __________ County 4-H agent (c) __________ County Farm Bureau President (d) __________ County Extension Homemakers Club President (e) 4-H Leader's Council President and at least 6 business leaders in the community. The last 6 persons mentioned shall serve until the annual meeting of the directors at which time the successors shall be elected; the board of directors shall have the power to increase the number of directors to serve the corporation for a term determined by the board of directors. Two members to be elected at the first annual meeting shall serve for 3 years, two for two years, and two for one year terms. Such terms shall be staggered terms and determined by lot. Thereafter, each newly elected director shall be chosen for three year terms. An elective director shall be eligible to succeed himself. A vacancy on the board membership shall be filled by the board of directors in accordance with Article II. A director so selected shall serve only until the next annual meeting of the membership at which time the vacancy shall be filled by a vote of the membership. The six elective directors shall be chosen from among the members of the Foundation and shall be a resident of __________ County. ARTICLE VII The officers of the Foundation shall consist of a President, a Vice-President, a Secretary and a Treasurer, all of whom shall be chosen by a majority vote of directors. The treasurer may be required to file a fidelity bond in such amount as the board of directors may designate from time to time. The first group of officers shall be elected at the first meeting of the board and shall serve until the annual meeting of the Foundation in 2000 at which time their successors shall be elected. Beginning with the 1999 annual meeting, the officers shall be elected for one year's term. ARTICLE VIII These articles may be amended by a majority vote of the directors present at a board of directors meeting. A proposed amendment shall be submitted in writing and read and approved at one meeting of the board of directors. The board of directors must be notified in writing of any proposed change in the Articles at least five days in advance of any meeting for this purpose.
